Profile
The Successfull candidate:
  • Fluent in English and a good legal English drafting skills
  • Minimum of 2-years experience in a similar role in an international company or law firm
  • Already an experience in contract law (it's a must have not a nice to have)
  • Good oral and written communication skills

The Commercial Contracts Specialist- Legal will work closely with the EU regional commercial sales team with responsibility for all aspects of the commercial contracts process. This responsibility includes drafting, reviewing, revising, and negotiating a variety of commercial contracts with customers and partners. The  Commercial Contracts - Legal position will regularly work with all functional departments across the company including finance, product management and sales operations and will report directly to the General Counsel in Herndon, Virginia USA.


As our Commercial Contracts Specialist- Legal you will: 

  • Draft, review and negotiate a broad range of commercial contracts using corporate templates including customer and reseller agreements, statements of work, evaluation and demonstration agreements, software license agreements, support contracts, professional services and consulting arrangements and confidentiality agreements.
  • Negotiate and drive strategic transactions and a significant volume of sales/revenue agreements with an international sales team primarily supporting the EU region.
  • Manage a portfolio of strategic commercial customer contracts and relationships including contract amendments and renewals of existing legacy contracts.
  • Review and analyze documents to determine contractual obligations and risks; explain these commitments to internal stakeholders; ensure contracts comply with ST Engineering policies, procedures and practices.
  • Partner with the business development, finance, professional services, product development and engineering departments in support of sales initiatives.
  • Collaborate and work closely with a team of contract/legal professionals located in Herndon, Virginia.
  • Willingness to establish, attend and actively participate in telephonic meetings with customers and partners in multiple international time zones including the US, Europe.
  • Utilize the SalesForce contract management database and other repositories to ensure that contracts and related correspondence are properly stored and tracked.
  • Work on other projects as assigned by the General Counsel

As a prerequisite to become our Commercial Contracts Specialist- Legal you: 

 

  • Have a bachelor’s degree in business; legal experience a plus
  • Have at least 5 to 7 years of commercial contracts experience preferably in the telecommunications industry; knowledge of the satellite industry a plus.
  • Have corporate in-house experience driving strategic transactions
  • Have a hands - on background in drafting and negotiating international customer contracts; proven ability to redline and edits documents
  • Possess excellent drafting, negotiation, time management, communication, decision-making, and organization skills.
  • Are experience with international commercial business transactions.
  • Have excellent knowledge of diverse contract structures for sales of products, services and software.
  • Have effective verbal and communication skills in a global business environment.
  • Have a strong background in contract formation, development, implementation, execution and administration.
  • Must possess in-depth knowledge and ability to efficiently utilize SalesForce®.
  • Must have general business skills and Microsoft Office Suite programs with a high degree of proficiency in Word, Excel and PowerPoint.
  • Are able to arrange and drive telephonic meetings and negotiations with customers and partners in international time zones.
  • Are fluent in written and spoken Dutch and English, other languages a plus

What will you do?
